OVERVIEW

Citysilk Ltd provides single parties and events through the Citysilk.co.uk website. The Terms and Conditions of Membership sets out the terms under which the Service is provided to you. By registering with Citysilk you become a member of the Service (a Member). The Service is being provided to you under the terms and conditions of this agreement and any operating rules, policies, and procedures as currently published on the website by Citysilk Ltd. We reserve the right to change the terms and conditions of this agreement, change the Site (including discontinuing any content on or feature of the site) or change any fees or charges for using the Site at any time. By using the Service, you agree to be bound by all of the terms and conditions of this agreement. If you do not accept all of these terms and conditions, do not continue to use the Service.

CHANGES TO THE SERVICE

Citysilk Ltd reserves the right, without liability, to modify or discontinue any part of the Service, temporarily or permanently. Citysilk will give you the maximum amount of notice of such modification or discontinuance as is practicable in the circumstances. Notice of any changes to the service will be made by Citysilk posting the changes on this website.

MODIFICATIONS TO TERMS AND CONDITIONS

Citysilk may change the terms and conditions from time to time. Citysilk will post the amended terms and conditions on the Citysilk.co.uk website upon any such change. The amendments automatically become effective immediately after they are initially posted on this website and any use of the Service occurring after such date is subject to the amendments. Your continued use of the Service after the posting of the amended terms and conditions on the website constitutes your acknowledgement of the terms and conditions and its modifications and agreement to abide by and be bound by the agreement, as amended. The terms and conditions of this agreement may not otherwise be amended, except in writing signed by both parties.

RIGHTS

Content presented to you as part of the Service ("Content") is protected by copyright, trademarks, service marks, patents or other proprietary agreements and laws and you are only permitted to use this Content as expressly authorised by Citysilk Ltd. These terms and conditions do not transfer any right, title, or interest in the Service or the Content to you and you may not copy, reproduce, distribute, or create derivative works from this Content without expressly being authorised to do so by Citysilk Ltd. You hereby irrevocably grant to Citysilk Ltd all such rights in any content that you place on this website as shall be necessary for Citysilk to provide the Service to its Members.

MEMBERSHIP

To be eligible to use the Service, you must be over 18 years of age. You must provide certain current, complete, and accurate information about yourself at registration and maintain and update such registration information ("Registration Data") so that such information remains current, complete and accurate. Citysilk may refuse to offer its Service to anyone without the need to give any reason and may change its criteria for Membership at any time. Citysilk will notify you if you have been accepted and registered as a Member. If any Registration Data that you provide is untrue, inaccurate, not current or incomplete, Citysilk retains the right to terminate your Membership immediately.

You are solely responsible for the actions of anyone using any Screen Name provided to you and the content of your transmissions through the Service. You agree to abide by all applicable laws and regulations in your use of the Service including, without limitation, the Data Protection Act 1998. You agree not to impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity. You agree not to use the Service for illegal or immoral purposes and to comply with all regulations, policies and procedures of networks connected to the Service. You agree not to publish, post, promote or otherwise transmit through the Service any unlawful, harassing, defamatory, abusive, threatening, harmful, vulgar, obscene, hateful, racially, ethnically or otherwise objectionable material of any kind or nature. You agree not to transmit or post any material that is defamatory, libellous or slanderous or that encourages conduct that could constitute a criminal offence, give rise to civil liability or otherwise violate any applicable laws or regulations.

You agree not to use the Service to promote another service, site and/or business or solicit other Members business or buy or sell products and/or services. Citysilk does not endorse the content of any Member postings or data nor assumes any responsibility for any threatening, libellous, obscene, harassing or offensive material contained in such materials, or any crime facilitated by use of this website.

Under these terms and conditions you agree not to upload or distribute in any way files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer. You agree not to interfere or disrupt networks connected to the Service. Under these terms and conditions you must not use any device, software or routine to attempt to interfere with the proper functioning of this website. Under these terms and conditions, you agree not to take any action that imposes an unreasonable or disproportionately large load on Citysilk’s infrastructure. In the event that you post or make accessible communications or other materials that infringe the copyright of a third party, Citysilk may immediately terminate your access to the Service. Citysilk may, at its sole discretion, immediately terminate your access to the Service should your conduct fail to conform with any provision of this Membership Agreement.

TERMINATION OF MEMBERSHIP

You may terminate your Membership at any time with immediate effect by serving written or electronic notice on Citysilk. Should you object to any provision of the terms and conditions or any subsequent modifications, your only recourse is to immediately terminate use of the Service and notify Citysilk of termination. Citysilk may terminate your Membership at any time by serving 1 days notice of termination on you, or immediately if you have breached these terms and conditions.

Upon termination of the Service, your right to use the Service immediately ceases and you acknowledge and agree that Citysilk may immediately delete the files in your account, bar any further access to such files or the Service. Upon termination of this Service, you are not entitled to a refund of any fees paid to Citysilk. Citysilk shall not be liable to you or any third party for termination of your Membership in accordance with these terms and conditions.

PRIVACY POLICY AND DATA PROTECTION

Access to and use of the Service is through a combination of Name and Email Address. You are responsible for ensuring that you maintain the confidentiality of your Screen Name and you must not permit any third party to use the Service on your behalf. You agree to immediately notify Citysilk of any unauthorised use of the Service through your account or any other breach of security known to you.

Your Information

We will respect your personal information and comply with all applicable UK Data Protection legislation and rules currently in force. We will use any information provided by you to us to constantly monitor and improve the Services to you and for marketing purposes. We may also use such information to send you specific emails or other related messages which, in our opinion, may be of interest to you in accordance with our Privacy Policy.

What information does Citysilk collect?

Registration: When you register with any of our sites, we collect certain data, such as your contact details and demographic information.
When Using the Site: We will keep a record of which areas of the site you are interested in. We also monitor user traffic patterns and Site use.
Competitions and special offers: We may ask you specific questions when you take part in any promotions. If we do, we will keep a record of your answers.

What does Citysilk do with this information?

We may use your information in the following ways:

Also in the event that Citysilk Limited or its assets are acquired, this information will also be one of the transferred assets.

EVENTS

All ticket sales and entry to events is subject to management discretion. Anyone dressed inappropriately, drunk or behaving inappropriately may be excluded from the events and/or removed from the website. Compensation is limited to the price paid for future events. It is imperative that your correct telephone number is given at the time of registering / booking so that we can contact you in the event of any event changes. Citysilk accepts no responsibility where incorrect or out of date telephone numbers are used. You are solely responsible for your interactions with other users. Citysilk is not responsible for the conduct of users either online or offline. Please use common sense and caution when using the website and dealing with other users offline. Citysilk events are held at venues over which Citysilk Ltd and its associates have no control. Therefore, in the event that you suffer damages of any kind at a Citysilk event, you agree to release Citysilk Ltd and its associates from any liability with respect thereof. Citysilk reserves the right to change venue and timings of events and activities provided.

AGE

You must be 18 years or over to register with the website and attend Citysilk events. You should book only events for you and your guests in which you and your guests are in that age range. Attendees that arrive at an event that look outside the age range many be asked for photographic identification as proof of age.

CONTACT CARDS

Citysilk does not provide online messaging for it's member so guests are encouraged to make use of the contact cards available at the event. Citysilk cannot guarantee being able to contact someone after the event on your behalf.

PRICING

Prices for services are those displayed on the website at the time of payment. Citysilk reserves the right to amend prices and offer members discounted rates in order to ensure the appropriate female / male mix and appropriate guest numbers.

LINKS / ADVERTISEMENTS

Sometimes our web site may include a link to another site which is outwith our control, and is therefore not covered by our privacy policy. While we make reasonable efforts to ensure that any links are properly managed and associated companies have a reasonable and consistent Privacy Policy we cannot guarantee what they may do when you use their web site.

DISCLAIMER

Citysilk Ltd does not guarantee that the Service will be uninterrupted, timely, secure, or error free. Because Citysilk is not involved in Member-to-Member dealings, Citysilk makes no warranty regarding the results that may be obtained from the use of the Service, the suitability of any dates or the accuracy or reliability of any content or information obtained through the Service.

LIMITATION OF LIABILITY AND INDEMNIFICATION

Citysilk does not accept liability for any damages for loss of profits, use, data or other intangible property or any indirect, incidental or consequential damages, resulting from the use or the inability to use the Service or resulting from unauthorised access to, deletion or alteration of transmissions or data or failure of the Service to store transmissions or data. Citysilk does not accept responsibility for the security or content of any information which members supply through the site and will not be liable for the content of any communications or messages received by you from any other Member. Citysilk's liability to you in any circumstances is limited to the amount of fees or commissions collected by Citysilk from you. You agree to indemnify, defend and hold Citysilk, its parents, subsidiaries, affiliates, officers and employees harmless from and against all liabilities, claims and expenses that may arise from any breach of these terms and conditions by you. This indemnity shall be applicable without regard to the negligence of any party. We do not exclude or limit any liability for death or personal injury due to our negligence. When you book an event with us, you must supply a daytime telephone number or mobile phone number. In the event that we are forced to cancel an event due to circumstances beyond our control, we will NOT take any responsibility for people who arrive at an event unless they have supplied telephone contact details.

REFUNDS & CANCELLATIONS

Standard Events

If you are unable to attend an event which you have booked and it is more than 5 working days prior to the event, Citysilk will move you to another event free of charge (plus any additional cost of new event, no money back for moves to cheaper events) or refund you less a £5.00 per ticket administration charge.

No refunds will be given for cancellations less than 5 working days before an event, however if cancelled less than 5 working days but more than 1 working day before the start of the event, we will move you to another event for a £5.00 per ticket administration fee.

If you let us know more than 1 working day before an event you can send a friend of the same sex in your place for no additional charge. We cannot offer any refunds, moves or changes if cancelled with less than 1 working days notice. However do please let us know if you are unable to attend, for whatever reason, as imbalanced numbers spoil our events for other people attending.

Balls, Dinners, New Years Eve Parties or Gold Events

We are not able to refund any tickets for our Balls, Dinners, New Years Eve parties or "Gold Events" such as Concerts, although you can send someone in your place, of the same sex, provided you contact us at least 1 working day in advance.

All events

To cancel, move to a different event or transfer your ticket to a friend please email us at admin@citysilk.co.uk

Cancellation by Citysilk may be necessary where minimum numbers are not reached or exceptional circumstances and Citysilk reserves the right in its absolute discretion to cancel your event. You will then have the choice of booking an alternative event with us at the appropriate additional cost or reduction depending on the cost of the event, or a full refund. Circumstances outside of our control include but are not limited to war, threat of war, riot, civil strife, industrial dispute, terrorist activity, natural or nuclear disaster, fire or adverse weather conditions. If cancellation or curtailment of your event occurs as a result of minimum numbers not being reached or other circumstances beyond our control, Citysilk will not pay any compensation, nor be responsible for any costs or expenses incurred by you as a result.

We reserve the right to change an event date to another date within a reasonable number of days from the original date. Refunds may be given should you not wish to attend on this alternative date, except where the change is due to external factors such as industrial action, bad weather, power cuts etc. Once notified of a significant change by email, you will be given 48 hours to decide if you would like a refund. After this time, all refunds will be discretionary. We reserve the right to move the event to another location of similar standard. Refunds may be given should you not wish to attend this alternative venue, but only where it is not of an equivalent standard or not within a reasonable distance of the original venue.

For an event run by a third party, any potential claims are to be settled directly between the guest and the other party. The proprietors of Citysilk are in no way liable for loss caused by a third party

GENERAL

By booking a Citysilk event you are registering your acceptance of the Citysilk Terms & Conditions. You represent and warrant that you have the right, authority and capacity to enter into this Agreement and to abide by all of the Terms & Conditions. Citysilk reserves the right to invite media to attend events. As a registered participant of a Citysilk event you understand that Citysilk offers an opportunity for meeting new people but Citysilk does not guarantee that any participant will successfully match with another participant. Citysilk also does not guarantee that any successful match between two participants at one of our events will lead to a successful date subsequently.

Citysilk aims to give single people a chance to meet one another in a safe and relaxed environment. However we are not a matchmaking service and do not verify the personal details of those participating in our events. It is up to you to verify personal information to your own satisfaction and we recommend that you do so. Please approach any contact with participants at one of our events with the same caution you would undertake when meeting other people you do not know.

By registering with Citysilk you agree that neither Citysilk nor its associates are liable for any damages, direct or indirect, that may arise from partaking in Citysilk services. This includes any damages, without limitation, arising out of communicating with other participants registered with Citysilk. Such damages include, without limitation, physical damages, bodily injury and or emotional distress and discomfort.

These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales and shall be subject to the exclusive jurisdiction of the English Courts. These terms and conditions and any modifications hereto constitute the entire agreement between the parties with regard to the subject matter hereof and supersede all prior understandings and agreements, whether written or oral, as to such subject matter (except for fraudulent misrepresentations). You agree that Citysilk has the right to assign or sub-contract any or all of its obligations under these terms and conditions. You shall not, without Citysilk prior written consent, assign these terms and conditions.
